Terms of Service

1. Parties

"Rivergate", "we", "our", or "the Service" refers to the platform operated by LE PION PASSE, a company registered in France.

"User", "you", or "seller" refers to the individual or entity that has created an account on Rivergate and authorized access to an Amazon Seller account.

2. Description of the Service

Rivergate is a Software-as-a-Service (SaaS) platform that enables Amazon sellers to access, monitor, and analyze their Amazon account data using Amazon's official Selling Partner API (SP-API). The Service includes features for order monitoring, financial event tracking, inventory visibility, VAT compliance analysis, review request management, and advertising performance reporting.

The Service requires explicit authorization by the seller through Amazon's OAuth 2.0 flow. No data is accessed without this authorization.

3. Eligibility

To use Rivergate, you must:

• Be at least 18 years of age
• Be a registered Amazon seller with an active Seller Central account
• Have the legal authority to authorize third-party API access to your Amazon Seller account
• Agree to and comply with Amazon's Selling Partner API Terms of Service

The Service is intended for professional use (B2B). It is not designed for use by consumers or individuals acting outside a business capacity.

4. Account Registration and Security

• You are responsible for providing accurate and complete information when creating your account.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must notify us immediately at support@rivergate.app if you become aware of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts where we reasonably suspect unauthorized access or misuse.

5. Amazon Authorization and Data Access

• By connecting your Amazon Seller account, you authorize Rivergate to access your Amazon data through SP-API on your behalf, within the permission scopes you grant during the authorization flow.
• You may revoke this authorization at any time through Amazon Seller Central. Revocation will stop further data retrieval; previously retrieved data will be deleted within the retention periods set out in our Privacy Policy.
• You confirm that you are the authorized account holder or have explicit permission from the account holder to grant this authorization.
• Rivergate accesses only the data categories permitted by the SP-API roles you have approved.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or Amazon Seller policies
• Access or attempt to access any data beyond your own authorized Amazon account
• Scrape, copy, or redistribute Amazon data retrieved through the platform to unauthorized third parties
• Circumvent, disable, or interfere with security features of the platform
• Use the Service to build competing products or services
• Introduce malware, viruses, or malicious code into the platform
• Misrepresent your identity or affiliation when using the Service
• Use the Service in any way that would cause Rivergate or its users to violate Amazon's Selling Partner API Terms of Service

7. Subscription and Payment

• Rivergate is offered on a subscription basis. Pricing is displayed at rivergate.app/pricing.
• Subscriptions are billed in advance on a monthly or annual basis depending on the plan selected.
• Payment is processed by our third-party payment provider. Rivergate does not store credit card or payment card data.
• Subscriptions renew automatically unless cancelled before the renewal date.
• Refunds are provided at our discretion. If you believe you are entitled to a refund, contact support@rivergate.app within 14 days of the charge.
• We reserve the right to modify pricing with 30 days' notice to active subscribers.

8. Data Ownership and Processing

• You retain ownership of all your Amazon seller data. Rivergate does not claim any ownership over data retrieved from your Amazon account.
• By using the Service, you grant Rivergate a limited, non-exclusive license to access, store, and process your Amazon data solely for the purpose of providing the Service to you.
• Rivergate processes personal data in accordance with its Privacy Policy and Data Protection Policy.
• Rivergate does not sell, share, or use your Amazon data for any purpose other than providing the authorized Service to you.

9. VAT Compliance Features

• The VAT compliance analysis features are intended to assist sellers in identifying potential compliance considerations. They do not constitute tax advice.
• Rivergate does not prepare or file tax declarations on your behalf.
• You are solely responsible for ensuring compliance with applicable tax laws. We recommend consulting a qualified tax advisor for all compliance decisions.

10. Intellectual Property

• The Rivergate platform, including its software, design, branding, and content, is owned by LE PION PASSE and protected by applicable intellectual property laws.
• You may not copy, modify, distribute, sell, or create derivative works from any part of the platform without our prior written consent.
• Rivergate is not affiliated with, endorsed by, or sponsored by Amazon.com, Inc. "Amazon" and "Selling Partner API" are trademarks of Amazon.com, Inc.

11. Service Availability and Modifications

• We aim to maintain high availability of the Service but do not guarantee uninterrupted access.
• We reserve the right to modify, suspend, or discontinue features of the Service with reasonable notice. Material changes to core functionality will be communicated with at least 30 days' notice.
• The Service depends on Amazon SP-API availability. We are not responsible for interruptions caused by changes to or downtime of Amazon's APIs.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not warrant that:

• The Service will be error-free or uninterrupted
• Data retrieved from Amazon SP-API will be complete or accurate (accuracy depends on Amazon's own systems)
• The Service will meet all of your specific business requirements

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LE PION PASSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION.

Our total liability to you for any claim shall not exceed the amount paid by you to Rivergate in the 3 months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless LE PION PASSE from any claims, damages, or expenses arising from:

• Your use of the Service in violation of these Terms
• Your violation of Amazon's Selling Partner API Terms of Service
• Your violation of any applicable law or regulation
• Any data or content you provide through the Service

15. Termination

• You may terminate your account at any time by cancelling your subscription and contacting support@rivergate.app.
• We may suspend or terminate your account immediately if you violate these Terms or Amazon's SP-API Terms of Service.
• Upon termination, your data will be deleted within 30 days, unless a longer retention period is required by law.

16. Governing Law and Disputes

These Terms are governed by the laws of France. Any disputes shall be subject to the exclusive jurisdiction of the courts of France.

If you are a consumer located in the EU, you may also benefit from mandatory protections under the law of your country of residence.

17. Changes to These Terms

We may update these Terms from time to time. We will notify registered users by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
